These Corporate Terms govern the relationship between Huuray A/S and any Corporate Client purchasing HuurayPay Mastercard® Prepaid Cards through the Huuray Platform.

This document is available in several languages for convenience. In the event of any discrepancy between language versions, the English version shall prevail.

1. Acceptance of Corporate Terms

1.1 These Corporate Terms & Conditions (“Corporate Terms”) govern the relationship between Huuray A/S (“Huuray”, “we”, “us”, “our”) and any Corporate Client purchasing HuurayPay Mastercard® Prepaid Cards (“HuurayPay Cards”) through the Huuray Platform (www.huuray.com) or via direct agreement with Huuray.

1.2 By placing an Order for HuurayPay Cards, the Corporate Client accepts and agrees to be bound by these Corporate Terms. These Corporate Terms form a legally binding agreement between Huuray and the Corporate Client.

1.3 These Corporate Terms apply exclusively to Corporate Clients and do not govern the relationship between Huuray and individual Recipients. The relationship between the Card Issuer, Huuray, and the Recipient is governed by the Cardholder Terms & Conditions, which are accepted by the Recipient upon Card activation.

1.4 Huuray reserves the right to amend these Corporate Terms at any time. Corporate Clients will be notified of material changes with at least thirty (30) days’ notice. Continued use of the Platform following notification of changes constitutes acceptance of the updated Corporate Terms.

1.5 These Corporate Terms should be read in conjunction with Huuray’s Privacy Policy and the Cardholder Terms & Conditions applicable to Recipients.

2. Definitions

In these Corporate Terms, the following terms have the meanings set out below:

“Account”
means the electronic money account held by Huuray A/S with the Card Issuer, from which specific balances are allocated to individual HuurayPay Cards.
“Account Holder”
means Huuray A/S, which holds legal title to all electronic money associated with HuurayPay Cards at all times.
“Card Issuer”
means Accomplish (D) ApS (CVR 43351206), Gammel Mønt 14, 5. TH., 1117 Copenhagen K, Denmark, an electronic money institution regulated by the Danish Financial Supervisory Authority (Finanstilsynet) under registration number FTID: 40516, which issues HuurayPay Cards pursuant to a licence from Mastercard International.
“Corporate Client”
means any company, organisation, governmental body, or other legal entity (not a consumer) that enters into an agreement with Huuray to purchase HuurayPay Cards for distribution to Recipients.
“Corporate Terms”
means these Corporate Client Terms & Conditions, as amended from time to time.
“HuurayPay Card”
means a virtual, non-reloadable Mastercard® Prepaid Card issued by the Card Issuer and distributed by Huuray, denominated in one of the Supported Currencies, which enables a Recipient to make purchases at any merchant worldwide that accepts Mastercard, subject to the Cardholder Terms & Conditions.
“KYC”
means Know Your Customer identity verification, carried out by Signicat or such other identity verification provider as Huuray may designate from time to time, which must be completed by a Recipient prior to Card activation.
“Loading Fee”
means the fee charged by Huuray to the Corporate Client or, where applicable, to the Recipient, for allocating funds to a HuurayPay Card, as set out in Section 5.
“Mastercard®”
means Mastercard International Incorporated, or its successors or assigns.
“Maximum Card Value”
means the maximum monetary value that may be loaded onto a single HuurayPay Card, as specified on the Platform from time to time.
“Minimum Card Value”
means the minimum monetary value that may be loaded onto a single HuurayPay Card, as specified on the Platform from time to time.
“Order”
means a request by a Corporate Client to Huuray to issue one or more HuurayPay Cards to specified Recipients.
“Platform”
means the Huuray online platform accessible at www.huuray.com and any associated applications or APIs through which Corporate Clients may place Orders.
“Recipient”
means an individual designated by the Corporate Client to receive a HuurayPay Card. The Recipient must be at least 18 years of age and a resident of the European Economic Area (EEA) or the United Kingdom.
“Supported Currencies”
means Danish Krone (DKK), Norwegian Krone (NOK), Swedish Krona (SEK), Euro (EUR), and Pound Sterling (GBP).
“Unused Funds”
means any balance remaining on a HuurayPay Card at the time of its expiry or cancellation, which reverts to Huuray A/S as Account Holder in accordance with Section 8.

3. Registration and Eligibility

3.1 To place Orders on the Platform, the Corporate Client must register a corporate account with Huuray. Registration requires the Corporate Client to provide: (i) the full legal name and registered address of the company; (ii) company registration number (CVR or equivalent); (iii) the name, title, email address, and telephone number of the authorised representative; and (iv) any additional information required by Huuray to fulfil its anti-money laundering (AML) and Know Your Customer (KYC) obligations.

3.2 The Corporate Client warrants that: (i) it is a duly incorporated legal entity; (ii) the individual registering on its behalf is duly authorised to do so; (iii) all information provided to Huuray is accurate, complete, and up to date; and (iv) it will promptly notify Huuray of any changes to its registered information.

3.3 Huuray reserves the right to refuse registration or to suspend or terminate a Corporate Client’s account at any time, at its sole discretion, including where Huuray has reasonable grounds to suspect fraudulent activity, AML concerns, or breach of these Corporate Terms.

3.4 The Corporate Client is responsible for maintaining the security of its account credentials and for all activity carried out under its account. Huuray shall not be liable for any loss or damage arising from unauthorised access to a Corporate Client’s account where such access results from the Corporate Client’s failure to maintain adequate security.

3.5 Only Corporate Entities may register as Corporate Clients. Consumer purchases are not permitted under these Corporate Terms.

4. Ordering HuurayPay Cards

4.1 The Corporate Client may place Orders for HuurayPay Cards through the Platform or via direct agreement with Huuray. Each Order must specify: (i) the number of HuurayPay Cards required; (ii) the monetary value to be loaded onto each Card; (iii) the currency (one of the Supported Currencies); and (iv) the name and email address of each Recipient (or a valid mobile number where applicable).

4.2 The value loaded onto each HuurayPay Card must be within the Minimum Card Value and Maximum Card Value as specified on the Platform. Huuray reserves the right to modify these limits at any time.

4.3 Orders are subject to acceptance by Huuray. Huuray may decline any Order at its sole discretion, including for AML or compliance reasons, without being required to provide a reason.

4.4 Upon acceptance of an Order, Huuray will issue an invoice to the Corporate Client. HuurayPay Cards will not be issued until full payment has been received by Huuray, including any applicable Loading Fee.

4.5 The Corporate Client is responsible for ensuring that Recipient details provided in each Order are accurate and complete. Huuray shall not be liable for Cards that cannot be delivered or activated due to incorrect or incomplete Recipient information provided by the Corporate Client.

4.6 HuurayPay Cards are non-reloadable. Once a Card has been issued, the Corporate Client may not add further funds to that Card. A new Order must be placed for any additional value.

4.7 Huuray supports bulk Orders and mass send-outs. For Orders exceeding 500 Cards or a total value of DKK 500,000 (or equivalent in other Supported Currencies), the Corporate Client may be required to provide additional documentation to satisfy Huuray’s AML obligations.

5. Fees and Pricing

5A. Fee Schedule

5.1 The following fees apply to HuurayPay Cards. Unless otherwise agreed in writing between Huuray and the Corporate Client, the default payer for each fee is as indicated in the table below.

* Outside Region Transaction Fee applies to transactions made outside the United Kingdom and the European Economic Area (EEA). Where both the Outside Region Transaction Fee and the Foreign Currency Conversion Fee apply to the same transaction, both fees will be charged.

5B. Loading Fee — Payer Options

5.2 The Loading Fee is charged at the time of Card issuance. By default, the Loading Fee is invoiced to and paid by the Corporate Client (Option 1 below). The parties may agree in writing to apply one of the following three arrangements:

Option 1 (Default)

Corporate Client pays

The Loading Fee is invoiced to the Corporate Client and added to the Order invoice. No Loading Fee is deducted from the Recipient’s Card balance. The Recipient will be informed that the Loading Fee has been covered by the Corporate Client.

Option 2

Recipient pays

The Loading Fee is deducted from the balance allocated to the Recipient’s Card at the time of issuance, reducing the available Card balance accordingly. The Recipient will be informed of this deduction at the time they receive their HuurayPay Card.

Option 3

Huuray covers the fee

By specific written agreement, Huuray may elect to absorb the Loading Fee. In this case, neither the Corporate Client nor the Recipient is charged the Loading Fee. This arrangement is subject to separate commercial agreement between Huuray and the Corporate Client.

5C. Outside Region & Foreign Currency Conversion Fees

5.3 The Outside Region Transaction Fee and the Foreign Currency Conversion Fee are always paid by the Recipient. These fees cannot be charged to the Corporate Client (Sender) or to Huuray A/S. They are deducted from the Recipient’s Card balance at the time of the relevant transaction and will appear on the transaction receipt.

5.4 The fee arrangement applicable to a specific Order will be confirmed in writing (by email or Order confirmation) at the time the Order is placed. In the absence of written confirmation of an alternative arrangement, the default payer as set out in clause 5.1 applies.

5.5 All prices are exclusive of VAT unless otherwise stated. VAT will be applied in accordance with applicable Danish and EU tax legislation.

5.6 Huuray reserves the right to amend the fee structure with thirty (30) days’ written notice to the Corporate Client.

5D. Load & Transaction Limits

5.7 The following limits apply to the loading and use of HuurayPay Cards. Load limits apply when funds are allocated to a Card. POS & Online limits apply to Transactions made with the Card.

6. Card Issuance and Delivery

6.1 Upon receipt of full payment for an Order, Huuray will initiate the issuance of HuurayPay Cards. Cards are issued as virtual cards only; no physical card will be issued.

6.2 Recipients will receive a notification (by email or SMS, as specified in the Order) containing a link to the HuurayPay landing page, where they can view the Card details and initiate the activation process.

6.3 HuurayPay Cards are issued in an inactive state. A Card becomes active only after the Recipient has successfully completed the KYC process in accordance with Section 7.

6.4 Huuray will use reasonable endeavours to issue Cards promptly following receipt of payment. Huuray does not guarantee specific delivery timescales and shall not be liable for delays caused by factors outside its reasonable control.

6.5 If a Recipient’s notification cannot be delivered due to an incorrect email address or mobile number provided by the Corporate Client, Huuray will notify the Corporate Client. The Corporate Client is responsible for providing corrected details and any re-issuance costs may be charged to the Corporate Client.

7. Recipient KYC and Card Activation

7.1 In accordance with applicable anti-money laundering legislation and the requirements of the Card Issuer, each Recipient must complete a Know Your Customer (KYC) identity verification process before their HuurayPay Card can be activated.

7.2 KYC is triggered when the Recipient clicks the “Activate HuurayPay” button on the Card landing page. The KYC process is conducted by Signicat AS or such other identity verification provider as Huuray may designate, using electronic identity verification methods including national eID, passport scanning, or other approved methods.

7.3 A Recipient must be at least 18 years of age and a resident of the EEA or the United Kingdom to be eligible for a HuurayPay Card. The Corporate Client is responsible for ensuring that Recipients meet these eligibility criteria.

7.4 If a Recipient fails the KYC process, their Card will not be activated. The Recipient will be informed of the failure and, where possible, offered the opportunity to retry. Huuray and the Card Issuer reserve the right to decline activation without providing a reason.

7.5 Where a Recipient’s Card cannot be activated due to KYC failure, the Corporate Client may request a refund of the Card value (less any applicable fees) by contacting Huuray’s customer services. Refund requests must be submitted within sixty (60) days of the Card issuance date.

7.6 The Corporate Client acknowledges that KYC requirements are imposed by applicable law and the Card Issuer and that Huuray has no discretion to waive these requirements.

8. Card Expiry and Unused Funds

8.1 HuurayPay Cards expire twelve (12) months from the date of Card issuance. The expiry date is displayed on the Card landing page and in the Recipient’s Card details.

8.2 A Recipient may not use their HuurayPay Card after its expiry date. Any balance remaining on a Card at the time of expiry constitutes Unused Funds.

8.3 As the Account Holder, Huuray A/S retains legal title to all electronic money associated with HuurayPay Cards at all times. Upon Card expiry, any Unused Funds revert to Huuray A/S and are not refundable to the Corporate Client or the Recipient, except as set out in clause 8.4.

8.4 Refund of Unused Funds to Corporate Client: Where a HuurayPay Card has not been activated by the Recipient (i.e. KYC was never completed), the Corporate Client may request a refund of the Card value (less the Loading Fee) within sixty (60) days of the Card expiry date, by contacting Huuray’s customer services. Huuray will consider such requests at its sole discretion.

8.5 The Corporate Client acknowledges that it is their responsibility to communicate Card expiry dates to Recipients and to encourage timely activation and use of HuurayPay Cards.

9. Corporate Client Responsibilities

9.1 The Corporate Client is solely responsible for: (i) selecting appropriate Recipients; (ii) ensuring that Recipients meet the eligibility criteria set out in Section 7; (iii) providing accurate and complete Recipient details in each Order; and (iv) communicating relevant information about the HuurayPay Card (including its terms, expiry date, and activation process) to Recipients.

9.2 The Corporate Client must not use the Platform or HuurayPay Cards for any unlawful purpose, including but not limited to money laundering, tax evasion, fraud, or any activity that violates applicable laws or regulations.

9.3 The Corporate Client must not distribute HuurayPay Cards as a substitute for wages, salaries, or other statutory employment entitlements.

9.4 The Corporate Client is responsible for ensuring compliance with applicable employment law, tax law, and any other regulations applicable to the distribution of rewards and incentives to employees or third parties in their jurisdiction.

9.5 The Corporate Client must promptly notify Huuray if it becomes aware of any suspected fraud, misuse, or unauthorised use of HuurayPay Cards issued under its Orders.

10. Liability and Indemnification

10.1 Huuray’s total liability to the Corporate Client under or in connection with these Corporate Terms, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total value of the Order(s) giving rise to the claim.

10.2 Huuray shall not be liable for: (i) any indirect, special, or consequential loss; (ii) loss of profit, revenue, business, or goodwill; (iii) loss arising from the Corporate Client’s failure to comply with these Corporate Terms; (iv) loss arising from incorrect Recipient details provided by the Corporate Client; (v) loss arising from a Recipient’s failure to complete KYC; or (vi) any loss caused by circumstances beyond Huuray’s reasonable control.

10.3 The Corporate Client shall indemnify and hold harmless Huuray, the Card Issuer, and their respective officers, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (i) the Corporate Client’s breach of these Corporate Terms; (ii) the Corporate Client’s negligence or wilful misconduct; (iii) any claim by a Recipient arising from incorrect information provided by the Corporate Client; or (iv) the Corporate Client’s violation of any applicable law or regulation.

10.4 Nothing in these Corporate Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

11. Data Protection and Privacy

11.1 Both parties shall comply with all applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”) and the Danish Data Protection Act (Databeskyttelsesloven).

11.2 The Corporate Client, as data controller, is responsible for ensuring that it has a lawful basis for sharing Recipient personal data (including name, email address, and mobile number) with Huuray for the purpose of Card issuance and delivery.

11.3 Huuray will process Recipient personal data as a data processor on behalf of the Corporate Client for the purposes of Card issuance, delivery, and KYC facilitation. Huuray will also process data as an independent data controller for its own compliance and fraud prevention purposes.

11.4 Recipient personal data will be shared with the Card Issuer (Accomplish (D) ApS) and the KYC provider (Signicat AS) as necessary for Card issuance and activation. These parties act as independent data controllers for their respective processing activities.

11.5 Huuray’s full Privacy Policy sets out in detail how personal data is collected, used, stored, and shared.

11.6 The Corporate Client shall ensure that Recipients are informed about the processing of their personal data in connection with HuurayPay Cards, including the involvement of Huuray, the Card Issuer, and the KYC provider.

12. Anti-Money Laundering and Compliance

12.1 Huuray is subject to Danish and EU anti-money laundering legislation, including the Danish Anti-Money Laundering Act (Hvidvaskloven) and EU Directive 2015/849 as amended. The Corporate Client acknowledges and accepts that Huuray may be required to: (i) conduct due diligence on the Corporate Client and its beneficial owners; (ii) monitor transactions for suspicious activity; (iii) report suspicious transactions to the relevant authorities; and (iv) suspend or terminate services without notice where required by law.

12.2 The Corporate Client must promptly provide any information or documentation requested by Huuray for AML compliance purposes. Failure to do so may result in suspension or termination of the Corporate Client’s account.

12.3 The Corporate Client warrants that the funds used to purchase HuurayPay Cards are from legitimate sources and that the Cards will not be used for any unlawful purpose.

13. Changes to These Terms

13.1 Huuray may amend these Corporate Terms at any time. Material changes will be notified to the Corporate Client by email at least thirty (30) days before the change takes effect.

13.2 Continued use of the Platform or placement of Orders after the effective date of any change constitutes acceptance of the amended Corporate Terms.

13.3 If the Corporate Client does not accept a proposed change, it must notify Huuray in writing before the change takes effect, and Huuray will treat this as notice of termination in accordance with Section 14.

14. Termination

14.1 Either party may terminate these Corporate Terms at any time by providing thirty (30) days’ written notice to the other party.

14.2 Huuray may terminate these Corporate Terms immediately, without notice, if: (i) the Corporate Client breaches any material provision of these Corporate Terms and fails to remedy the breach within fourteen (14) days of written notice; (ii) the Corporate Client becomes insolvent, enters administration, or is subject to any analogous insolvency proceedings; (iii) Huuray has reasonable grounds to suspect the Corporate Client of fraud, money laundering, or other illegal activity; or (iv) Huuray is required to do so by applicable law or regulatory requirement.

14.3 Upon termination, any outstanding Orders that have been paid for will be fulfilled. No refunds will be issued for Cards that have already been issued to Recipients, except as set out in Section 8.

14.4 Termination shall not affect any rights or obligations that have accrued prior to the date of termination.

15. Governing Law and Disputes

15.1 These Corporate Terms are governed by and construed in accordance with the laws of Denmark.

15.2 Any dispute arising out of or in connection with these Corporate Terms shall be subject to the exclusive jurisdiction of the Danish courts, with the Copenhagen City Court (Københavns Byret) as the court of first instance.

15.3 Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days.
